Terms

Welcome to SILPART. These Terms and Conditions ("Terms") govern your use of our website and the B2B products and services provided by Shenzhen Silicone Partner Technology Co., Ltd. ("SILPART", "we", "us", or "our"). By accessing our website or submitting an inquiry, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Definitions

  • "Buyer" means the individual or business entity submitting an inquiry, placing an order, or purchasing products from SILPART.
  • "Products" means silicone products, custom molds, samples, and related goods manufactured or supplied by SILPART.
  • "Services" means OEM/ODM manufacturing, mold development, design consultation, sampling, packaging, and related B2B services.
  • "Quote" means a written price quotation provided by SILPART in response to a Buyer's inquiry, valid for the period stated therein.
  • "PO" means the Buyer's purchase order referencing a SILPART Quote and confirming acceptance of these Terms.

2. Website Use

2.1 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for legitimate B2B business purposes. You may not:

  • Reproduce, distribute, modify, or create derivative works from website content without written permission
  • Use the website for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to our systems, data, or networks
  • Use automated tools (scrapers, bots) to extract data from our website without permission
  • Interfere with or disrupt the website's functionality or security

2.2 Intellectual Property

All content on our website, including text, images, logos, product designs, videos, and graphics, is the property of SILPART or its licensors and is protected by intellectual property laws. Product images shown are for reference only; actual products may vary. Custom designs provided by the Buyer remain the Buyer's intellectual property, subject to any confidentiality agreement.

2.3 Accuracy of Information

We strive to provide accurate and up-to-date information on our website. However, we do not warrant that all information is complete, current, or error-free. Product specifications, prices, and availability are subject to change without notice. We reserve the right to correct any errors, inaccuracies, or omissions at any time.

3. Inquiries and Quotes

3.1 Inquiry Submission

By submitting an inquiry through our website or email, you represent that you are a legitimate B2B buyer with the authority to make purchasing decisions on behalf of your business. You agree to provide accurate and complete information to enable us to respond effectively.

3.2 Quote Validity

All quotes are valid for 30 days from the date of issue unless otherwise stated. Quotes are based on the information provided by the Buyer at the time of inquiry. Changes to specifications, quantities, materials, or packaging may result in price adjustments. Quotes do not constitute a binding contract until a formal PO is accepted by SILPART and the deposit is received.

3.3 Price Components

Quoted prices typically include: product cost, standard packaging, and loading at our factory. Unless explicitly stated, quotes do NOT include: mold/tooling costs (for custom products), shipping/freight, insurance, import duties, taxes, or destination port charges. These will be itemized separately upon request.

4. Orders and Payment

4.1 Order Acceptance

A binding contract is formed only when: (a) the Buyer submits a PO referencing a valid SILPART Quote; (b) SILPART confirms acceptance in writing; and (c) the required deposit is received. Oral agreements or informal email exchanges do not constitute a binding order.

4.2 Payment Terms

Standard payment terms for B2B orders:

  • Mold/tooling: 100% payment before mold development begins
  • Sample orders: 100% payment before sample production (sample cost may be refundable against future bulk orders, as stated in the quote)
  • Bulk production: 30% deposit upon order confirmation, 70% balance before shipment (or against copy of B/L for established clients)

Accepted payment methods: T/T (bank wire transfer), Western Union, PayPal (for sample orders only), and other methods by mutual agreement. All bank charges are the responsibility of the payer unless otherwise agreed.

4.3 Currency

All prices are quoted in US Dollars (USD) unless otherwise specified. Payment in other currencies must be agreed in advance and will be converted at the exchange rate on the date of payment.

5. Production and Lead Time

5.1 Production Process

For custom products, the production process includes: mold design & development, T0/T1 sample trials, sample approval by Buyer, mass production, QC inspection, and packaging. The Buyer must approve samples before mass production begins. Any changes requested after sample approval may result in additional costs and lead time extensions.

5.2 Lead Time

Lead times are estimates and begin from the date of deposit receipt and final specification confirmation. Typical lead times:

  • Stock-mold OEM products: 10-15 working days
  • Custom mold development: 15-25 working days (depending on complexity)
  • Custom product mass production: 20-35 working days after sample approval

Lead times may be affected by factors beyond our control, including but not limited to: raw material shortages, equipment breakdown, public holidays, force majeure events, or delays caused by the Buyer's late responses or specification changes. We will notify the Buyer promptly of any anticipated delays.

5.3 Production Updates

We provide regular production updates upon request, including photos or videos of the production process, mold trials, and finished goods inspection. Buyers are welcome to arrange third-party inspections (e.g., SGS, BV, Intertek) at their own cost before shipment.

6. Quality and Inspection

6.1 Quality Standards

Products are manufactured in accordance with: (a) the specifications agreed in the Quote/PO; (b) approved samples; and (c) applicable industry standards. Our QC system includes IQC (incoming), IPQC (in-process), FQC (final), and OQC (outgoing) inspections. We maintain ISO 9001 quality management certification.

6.2 Acceptable Tolerances

Silicone products are subject to inherent manufacturing tolerances. Unless otherwise specified in writing, acceptable tolerances include:

  • Dimensions: ±0.2mm for small parts, ±0.5mm for larger parts
  • Hardness: ±5 Shore A
  • Color: ±Delta E 2.0 (visual match under standard lighting)
  • Weight: ±5%
  • Cosmetic: minor flash, flow marks, or slight surface imperfections that do not affect function are acceptable within industry standards

6.3 Inspection and Claims

The Buyer should inspect all goods upon receipt. Quality claims must be submitted in writing within 15 days of receipt, accompanied by clear photos/videos and a detailed description of the issue. Claims submitted after this period will not be accepted. For confirmed manufacturing defects, SILPART will, at its option: (a) replace the defective goods free of charge; (b) refund the proportionate value of defective goods; or (c) provide a credit toward future orders. Shipping costs for returns must be agreed in advance.

7. Shipping and Delivery

7.1 Shipping Methods

We offer the following shipping methods (Incoterms 2020):

  • EXW (Ex Works): Buyer arranges pickup from our factory
  • FOB (Free On Board): We deliver to Shenzhen port; Buyer arranges ocean freight
  • CIF (Cost, Insurance, Freight): We arrange ocean freight and insurance to destination port
  • DDP (Delivered Duty Paid): We handle all costs including import duties (available for selected destinations)
  • Express (DHL/FedEx/UPS): For samples and small orders, door-to-door delivery

7.2 Delivery Risk

Risk of loss or damage passes to the Buyer upon delivery to the carrier (for FOB/CIF) or upon receipt (for DDP). We recommend purchasing cargo insurance for international shipments. We are not liable for damage or loss occurring during transit, but will assist with claims documentation.

7.3 Customs and Duties

Import duties, taxes, customs clearance fees, and destination charges are the responsibility of the Buyer unless DDP terms are agreed. We will provide accurate commercial invoices and packing lists for customs purposes. The Buyer is responsible for ensuring that imported products comply with all applicable laws and regulations of the destination country.

8. Samples

We provide samples for Buyer evaluation before bulk production. Sample terms:

  • Stock product samples: free of charge (Buyer pays shipping)
  • Custom samples: sample fee applies (may be refundable against bulk order, as stated in quote)
  • Sample lead time: 3-7 working days for stock, 10-15 working days for custom
  • Samples are for evaluation only and may not exactly match final production quality
  • Buyer must approve samples in writing before mass production begins

9. Custom Products and Tooling

9.1 Mold Ownership

For custom products requiring new mold/tooling:

  • The Buyer pays the mold development cost as quoted
  • Upon full payment, the mold is the property of the Buyer
  • We will store and maintain the mold at our factory for the Buyer's exclusive use for a period of 2 years from last production
  • After 2 years of inactivity, we reserve the right to dispose of the mold after 30 days' written notice
  • Mold maintenance and minor repairs are included; major modifications or rebuilds are quoted separately

9.2 Design Confidentiality

We treat all Buyer-provided designs, drawings, specifications, and product concepts as confidential. We will not disclose, share, or use such information for any purpose other than fulfilling the Buyer's order. A separate NDA can be signed upon request.

9.3 Design Changes

Any design changes requested by the Buyer after mold development has begun may require mold modifications, additional costs, and lead time extensions. We will provide a revised quote and timeline for any requested changes before proceeding.

10. Cancellation and Refunds

10.1 Order Cancellation

  • Before production begins: Orders may be cancelled with a full refund of any deposit, minus any non-recoverable costs already incurred (e.g., mold development, materials purchased)
  • During production: Cancellation is subject to a fee covering work completed, materials used, and any non-recoverable costs. The Buyer will be charged for the proportion of work completed
  • After production completion: Orders cannot be cancelled. The Buyer is responsible for full payment

10.2 Refunds

Refunds are processed within 10-15 working days of approval, using the same payment method originally used. We are not responsible for bank processing fees or exchange rate fluctuations that may affect the refunded amount.

11. Warranty

We warrant that products will be free from manufacturing defects in materials and workmanship for a period of 90 days from the date of delivery. This warranty does not cover:

  • Normal wear and tear
  • Damage caused by misuse, improper use, or failure to follow care instructions
  • Damage caused by external factors (chemicals, extreme temperatures, UV exposure beyond specified limits)
  • Products modified or repaired by anyone other than SILPART
  • Cosmetic imperfections within acceptable tolerances (see Section 6.2)
  • Damage occurring during transit (risk passes to Buyer per shipping terms)

This warranty is in lieu of all other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. Our total liability under this warranty is limited to the purchase price of the defective products.

12. Limitation of Liability

To the maximum extent permitted by law, SILPART shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or costs of substitute products, arising out of or in connection with these Terms or the use of our products/services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the products/services provided shall not exceed the total amount paid by the Buyer for the specific order giving rise to the claim.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to: natural disasters, earthquakes, floods, fires, pandemics/epidemics, government actions, trade restrictions, war, terrorism, strikes, labor disputes, power outages, internet/telecom failures, raw material shortages, or transportation disruptions. In such event, we will notify the Buyer promptly and will use reasonable efforts to minimize the impact. The delivery schedule will be extended for the duration of the force majeure event. If the event continues for more than 60 days, either party may terminate the order by written notice, with a refund of any unfulfilled deposit.

14. Confidentiality

Both parties agree to keep confidential all non-public information disclosed in connection with these Terms, including but not limited to: pricing, product designs, technical specifications, manufacturing processes, business plans, customer lists, and trade secrets. Confidential information may only be used for the purpose of fulfilling the order and may not be disclosed to third parties without prior written consent, except to employees or contractors who need to know and are bound by confidentiality obligations. This obligation survives the termination of these Terms for a period of 3 years.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the products/services provided shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the Shenzhen International Arbitration Court (深圳国际仲裁院) for arbitration in accordance with its arbitration rules. The arbitration shall be conducted in English (or Chinese, by mutual agreement) and the arbitral award shall be final and binding on both parties. The prevailing party shall be entitled to recover reasonable attorney's fees and arbitration costs.

16. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our website or services after changes are posted constitutes acceptance of the modified Terms. For existing orders, the Terms in effect at the time of order confirmation shall apply unless otherwise agreed in writing.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, consistent with the intent of these Terms.

18. Entire Agreement

These Terms, together with any applicable Quote, PO, and separate written agreements (including NDAs), constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written. No modification to these Terms shall be effective unless in writing and signed by an authorized representative of SILPART.
